A convenience fee will be charged to you when your payment is processed. The convenience fee is charged by IMS, not your county/city/business. Your transaction statement will include a charge from IMS Enterprises or IMS Web Services, along with the payment you make to the county/city/business.

You may not use this online system if you do not want to be charged a convenience fee.

The transactions performed on the site are secured by 256-bit encryption and require a browser capable of reading 256-bit encryption. Modern browsers are capable of reading 256-bit encryption. However, if you are using an old browser such as Microsoft Internet Explorer (IE) version 5.01 or earlier, it may not be capable. If your browser is not capable of reading 256-bit encryption, in order to utilize this service, you must first upgrade your browser.

Terms of Use

IMS Enterprises, Inc. ("IMS", "us", or "we") provides certain proprietary web sites that enable citizens and businesses to make payments to their county or city government, or private businesses. The following terms (the "Agreement") govern your access to and use of, including any content, functionality and services offered on or through the websites maintained by IMS, which include, but are not limited to, www.PayYourTaxOnline.com, our call center, or other operating platforms through which you choose to access or transmit data to us (collectively, the "Site"). In return for gaining access to any Site and using it, you agree to be bound by the following Agreement without limitation or qualification. If you do not intend to be legally bound by this Agreement, you may not access and use any Site. IMS reserves the right to change this Agreement and to make changes to any Site at any time without notice or liability. Any such revisions are binding on you, and therefore you should periodically visit this page when you use the Site to review the current Agreement. IMS also reserves the right in its sole discretion to deny you access to the Site at any time This Agreement applies to your use of www.PayYourTaxOnline.com and any related products and services as described and offered through www.PayYourTaxOnline.com (collectively the "Service").

Proprietary Rights

The Site and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement), are owned by IMS, its licensors or other third party providers of such material and are protected by United States and international copyright, trademark, patent, or proprietary rights laws. Subject to the limited rights expressly granted hereunder, IMS reserves all of its rights, title, and interest in and to the Site and any and all materials provided by IMS, including all derivatives, improvements or enhancements thereof, and including all intellectual property rights therein and thereto.

Subject to your compliance with this Agreement, IMS grants you a limited, revocable, personal, non-transferable, and non-exclusive right to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Site.

You must not access or use for any commercial purposes any part of the Site or any services or materials available through the Site. No right, title or interest in or to the Site or any content on the Site is transferred to you, and IMS reserves all rights not expressly granted. Any use of the Site not expressly permitted by this Agreement is a breach of this Agreement and may violate copyright, trademark and other laws.

Unless otherwise noted, all information, articles, data, images, passwords, Personal Identification Numbers ("PINs"), screens, text, usernames, web pages, or other materials (collectively "Content") appearing on the Site are the exclusive property of IMS, or their subsidiaries and affiliates:

The trademarks, logos, service marks, and trade dress (collectively the "Trademarks") displayed on the Site are registered and unregistered Trademarks of IMS, or others.

Images of people, objects, or places displayed on the Site are either the property of or used with permission by IMS.

IMS owns or uses by permission all software contained on the Site. The law expressly prohibits any modification, redistribution, or reproduction of the software, and such actions could result in severe civil and criminal penalties.

Fees and Charges

PayYourTaxOnline.com is a service provided by IMS and its affiliates that allows you to conveniently make payments to a county or city government or agency. Other than the receipt of payments made by you, less any applicable fees described below, neither the county or city government or agency, nor any individuals employed by or affiliated with the applicable county, city government, or agency, profits from the provision of this Service.

Convenience Fee: A convenience fee is assessed each time you make a payment to the applicable third party through this Service. This fee is charged to cover the costs of third-party vendor payment processing, the provision of a convenient alternative payment channel, and the maintenance of the platform. The exact amount of the convenience fee will be clearly displayed to you before you finalize any individual or scheduled (recurring) deposit. For scheduled deposits, a convenience fee is assessed each time a deposit takes place. You will have the opportunity to review the fee and cancel the transaction at no charge before your payment is processed. By completing a transaction after reviewing the disclosed fee, you acknowledge and agree to the payment of that fee.

Alternative Payment Methods: Use of this Service is entirely voluntary. If you prefer not to pay the convenience fee, you may make the applicable payment by paying in person at the applicable third-party office via cash or, in some cases, check or cashier's check, at no additional cost. Please contact the county or city government, or agency directly for information regarding in-person payment procedures and accepted forms of payment.

Your Obligations & Representations and Warranties

By using the Site, you represent and warrant that you are the age of majority or older and possess the legal right and ability to enter into this Agreement and to use any given Site under the terms and conditions of this Agreement. You accept financial responsibility for all use of the Site under your name or account, including without limitation all uses of your account by others. You agree not to assign, transfer, or sublicense your rights under this Agreement.

You agree that without limitation you shall not make any false payments or any payments in anticipation of protest. You agree to abide by the terms and conditions IMS imposes including, but not limited to, payment of all amounts when due and compliance with all rules regarding credit card or check/ACH payments. You are responsible for all assessments, charges, duties, fees, and taxes arising out of your use of the Site.

Your account information is owned by and proprietary to IMS. While you may access your account information through the Site, you may not give access to your account to any person or entity. You may not give access to your account to any third-party online service.

You must access your account information directly through the Site and not through a third-party web site or any other means, without the express written consent of IMS. You also violate this Agreement if you enable anyone to access account information without visiting the Site directly.

Usage Restrictions

IMS provides the Site solely to permit you to make legitimate payments or otherwise transact business with IMS and for no other purposes. You may use the Site only for lawful purposes and in accordance with these Terms of Use. The Site is for your personal, non-commercial use. You agree that you will use the Site's services only to make legitimate payments for you or for another person for whom you are authorized to act both legally and under the terms of this Agreement.

You agree not to use the Site:

In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail", "chain letter" or "spam" or any other similar solicitation.

To impersonate or attempt to impersonate IMS or its employees, another user or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).

To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm IMS or users of the Site or expose them to liability.

In any manner, including using any device, software or routine that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Site, including their ability to engage in real time activities through the Site.

Use any robot, spider or other automatic device, process or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.

Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.

Introduce any viruses, trojan horses, worms, logic bombs or other material, which is malicious or technologically harmful; or attack the Site via a denial-of-service attack or a distributed denial-of-service attack.

Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer or database connected to the Site or otherwise attempt to interfere with the proper working of the Site.

Distribute, disseminate, post, or publish any information or material that degrades, embarrasses, harasses, humiliates, intimidates, or threatens any individual or group of individuals.

Abuse, defame, harass, stalk, threaten, or otherwise violate others' legal rights, including but not limited to rights of privacy and publicity.

Download or upload files that contain materials, including but not limited to software that violates the intellectual property, privacy, or publicity rights of others unless you own, control, or have been authorized to exercise such rights.

Engage in any other conduct that is, or that IMS deems to be, in conflict with this Agreement. IMS forbids misuses, and access of the Site for any misuses or other similar purposes constitutes unauthorized use of the Site.

Indemnification

You agree to indemnify, defend, and hold harmless IMS and its affiliates from and against any and all claims, demands, proceedings, suits and actions, including any related liabilities, obligations, losses, damages, deficiencies, penalties, taxes, levies, fines, judgments, settlements, expenses (including legal and accountants' fees and disbursements) and costs (collectively, "Claims"), based on, arising out of or resulting from your use of the Site, including without limitation any Claims alleging facts that if true would constitute your breach of this Agreement.

Limitation of Liability

To manage risk, IMS may monitor transactions for fraud. We may, in our sole discretion, reject a transaction for a higher-than-normal level of risk associated with the payment (for example, and without limitation, a risk that the payment may be challenged to be unauthorized). This may be because IMS has the reasonable suspicion that an account is or has been used for activities, including, but not limited to: reversals, chargebacks, disputes, claims, fees, fines, penalties, complaints or for other reasons as determined by us in our reasonable discretion. Such an action does not mean that parties to the transaction are acting in a dishonest or fraudulent manner. It means there may be a higher-than-normal level of risk associated with the payment.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL IMS BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, RELIANCE, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER; (B) LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; (C) DAMAGES RELATING TO YOUR ACCESS TO, USE OR, OR INABILITY TO ACCESS OR USE THE SITE, ANY SITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING FOR ANY IMPLIED WARRANTIES; (D) DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY OR USER OF THE SERVICES; OR € LIABILITY FOR ANY ACT OR OMISSION OF ANY THIRD PARTY (SUCH AS A PROVIDER OF TELECOMMUNICATION SERVICES OR EQUIPMENT). THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT IMS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND FURTHER WHERE A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

THE TOTAL LIABILITY OF IMS AND ITS AFFILIATES, FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OF USE, YOUR USE, OR INABILITY TO USE, THE SITE, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE, IS LIMITED TO THE GREATER OF (I) THE AMOUNT YOU PAID TO IMS FOR YOUR USE OF THE SITE AND ANY GOODS OR SERVICES PROVIDED BY IMS IN THE TWELVE (12) MONTHS PRECEDING THE INITIAL CLAIM, (II) OR $100 USD.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE FOREGOING LIMITATIONS ON LIABILITY APPLY TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT IMS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SHOULD APPLICABLE LAW IN A RELEVANT JURISDICTION NOT ALLOW THE FOREGOING LIMITATION OR EXCLUSION OF LIABILITY, IN SUCH JURISDICTION IMS'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Disclaimer of Warranties

EXCEPT WHERE PROHIBITED BY LAW, IMS EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND GUARANTEES OF ANY KIND, WHETHER ORAL OR WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, QUALITY, TITLE, VALIDITY, OR FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE". Consistent with the IMS privacy policy, we ask you to provide certain information when you make payments using credit cards or check/ACH payments. You agree that when you provide such information, the information will be accurate. Under no circumstances will you provide false or misleading information. For use of certain services, we may provide you with a passcode. This passcode is proprietary to and the property of IMS. However, you must take precautions to ensure the security of your passcode. IMS assumes no responsibility for and will not be liable if another person learns your passcode or uses your passcode to cause damage to you.

While IMS takes reasonable steps to safeguard and to prevent unauthorized access to your private information, we cannot be responsible for the acts of those who gain unauthorized access, and we make no warranty, express, implied, or otherwise, that we will prevent unauthorized access to your private information.

Third Party Links

The Site may provide hyperlinks or references to other sites. While IMS endeavors to provide links only to sites that are reputable and safe, we take no responsibility for the information, products, or services obtained on such other sites and will not be liable for any damages arising from your access to such sites. Communications with IMS

The Site may provide you with the ability to have an on-line chat session with IMS or with information as to how you can contact IMS by telephone. By contacting IMS, you agree that the communication may be monitored, recorded, and/or transcribed, and you consent to the monitoring, recording, and/or transcribing. Such records may be kept indefinitely or disposed of at our discretion.

Governing Law and Procedural Restrictions

You agree that Alabama law governs this Agreement's interpretation and/or any dispute arising from your access to, dealings with, or use of the Site, without regard to conflicts of law principles. Any lawsuit brought by you related to your access to, dealings with, or use of the Site must be brought in the state or federal courts of and for Alabama. You agree and understand that you will not bring against IMS, or any of its affiliated entities, agents, directors, employees, or officers any class action lawsuit related to your access to, dealings with, or use of the Site. Neither the International Convention for the Sale of Goods nor the Uniform Commercial Code shall apply to this Agreement. The Uniform Computer Information Transaction Act will not apply to this Agreement.

Other Terms

This Agreement constitutes the entire agreement governing your access to, dealings with, and use of any Site. Separate agreements may attach to any goods, products, or services you obtain, purchase, or use from any Site.

No waiver by IMS of any breach hereof or default hereunder shall be deemed a waiver of any subsequent breach or default of the same or similar nature. If any clause or provision of this Agreement is illegal, invalid or unenforceable under present or future laws effective during the term of this Agreement, then and in that event, it is the intention of the parties hereto that the remainder of this Agreement shall not be affected thereby. This Agreement shall not be more strictly construed against one party or the other on account of drafting.
